1. Agreement to Terms

These Terms of Service ("Terms") are a binding legal agreement between NexID("NexID," "we," "us," or "our") and you governing your access to and use of nexid.id, applications, APIs, and related services (collectively, the "Services"). By creating an account, purchasing a subscription or points, uploading content, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility and Global Compliance

You must be at least 18 years old and legally capable of entering into these Terms. You are responsible for ensuring your use of the Services complies with all laws, regulations, and rules applicable in your jurisdiction. NexID operates globally, and you access the Services at your own initiative and risk.

3. Service Scope and Platform Neutrality

NexID is a self-service digital identity awareness and privacy tool that helps users review public internet footprint exposure. NexID is a neutral technology platform and does not independently verify the ownership, identity, legality, or accuracy of user-submitted content or third-party source data.

You are solely responsible for your submissions, interpretations, decisions, and actions taken based on Service outputs.

4. Account Responsibility

You must provide accurate and complete account information and keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You are responsible for promptly notifying NexID of any unauthorized access or suspected security incident through the in-product support or account message center.

5. User Content, Rights, and License

You may submit images, links, identifiers, and other data only if you have the legal right and authority to submit and process that content. By submitting content, you represent and warrant that your submission and use do not violate privacy, publicity, intellectual property, data protection, biometric, or other rights of any person.

You grant NexID and its affiliates a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, analyze, adapt, create derivative works from, use, and display your submitted content for operating, securing, improving, developing, and commercializing the Services, including enterprise and API offerings.

  • This license survives account suspension or termination to the extent legally necessary.
  • NexID may retain and use data as required for security, fraud prevention, legal compliance, dispute resolution, backups, and permitted de-identified or aggregated uses.

NexID operates as a self-service platform and does not independently verify ownership or authority for each submitted item.

6. Acceptable Use Policy

The Services are intended for personal identity awareness, digital footprint monitoring, privacy protection, and lawful research regarding your own data.

You may not use the Services for unlawful, harmful, or rights-infringing purposes, including:

  • Identifying unknown individuals or inferring identity of non-consenting persons.
  • Stalking, harassment, doxxing, threats, or unlawful surveillance.
  • Identity theft, impersonation, or unauthorized investigation of private individuals.
  • Law-enforcement or intelligence use without prior written authorization and lawful basis.
  • Background checks, screening, or regulated decisioning use.
  • Uploading content without legal rights, authority, or required consent.
  • Scraping, crawling, mirroring, republishing, or extracting platform data, models, outputs, or datasets.
  • Reverse engineering, bypassing security controls, or interfering with system integrity.

7. NexID Card and Public Submissions

If you publish a NexID Card or other public profile elements, you control what information is made public. Public submissions may be visible to others and indexed by third parties. You remain solely responsible for public-facing content and resulting consequences.

8. AI and Automated Analysis Disclaimer

The Services use AI and automated analysis systems. Outputs may be incomplete, inaccurate, context-dependent, delayed, or unavailable. NexID does not guarantee result accuracy, completeness, or fitness for any purpose.

You assume all interpretation and use risk. NexID is not responsible for user conclusions, misidentification outcomes, defamation claims, reputational harm, or third-party consequences arising from your use of outputs.

9. Subscription, Billing, and Auto-Renewal

Paid features are offered through subscriptions and points. Payment processing is provided by third parties, including Stripe, and is subject to those providers' terms. By purchasing a subscription, you authorize recurring charges until canceled.

Unless required by law, all fees are non-refundable, including partially used subscription periods. NexID may change plans, pricing, billing terms, and paid feature structures at any time, with changes effective prospectively unless otherwise required by law.

10. Points/Credits Terms

Points and credits are licensed, not sold, have no cash value, and are non-transferable. All points are final and non-refundable. NexID may correct points errors, revoke improperly granted points, and adjust points mechanics prospectively.

11. Service Modification and Availability Rights

The Services are provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or fully secure operation. Services may be unavailable because of maintenance, outages, third-party failures, security events, or force majeure.

NexID may add, modify, limit, discontinue, or replace any feature, pricing model, subscription tier, point usage rule, API capability, or paid offering at any time, with or without notice, without liability.

12. Data Commercialization and Enterprise/API Rights

NexID may now or in the future offer enterprise services, developer APIs, analytics products, data products, and related commercial offerings. NexID may use submitted content and platform activity data to operate, improve, and commercialize the Services as permitted by applicable law.

NexID may use de-identified, anonymized, and aggregated data for analytics, business intelligence, benchmarking, internal model development and training, security, research, and commercial partnerships without additional consent, provided such data does not reasonably identify individual users.

13. Third-Party Sources and Removal Requests

NexID may reference publicly available third-party sources. NexID does not control those sources and does not guarantee source accuracy, completeness, continued availability, or successful removal of data from third-party sites.

14. Intellectual Property

NexID and its licensors retain all rights, title, and interest in the Services, including software, models, designs, trademarks, and documentation. Except for rights expressly granted in these Terms, no rights are transferred to you.

15. Suspension and Termination Rights

NexID may suspend, restrict, or terminate any account, content, transaction, or access credential at any time, in its sole discretion, with or without notice, for risk control, abuse prevention, security, legal compliance, payment concerns, or any other business reason.

16. Data Retention After Termination

NexID may retain account and usage data after suspension or termination where reasonably necessary for security, fraud prevention, legal compliance, audits, dispute resolution, enforcement, backups, and legitimate business interests. De-identified or aggregated data may be retained indefinitely.

17. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.

18. Limitation of Liability

To the maximum extent permitted by law, NexID and its affiliates, officers, employees, and suppliers are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, reputation, goodwill, business interruption, or security incidents.

To the fullest extent permitted by law, NexID's aggregate liability arising out of or relating to the Services will not exceed the amount you paid to NexID for the Services in the 12 months before the event giving rise to the claim. These limits apply regardless of legal theory and even if a limited remedy fails of its essential purpose.

19. Indemnification

You agree to defend, indemnify, and hold harmless NexID and its affiliates from claims, losses, liabilities, and expenses arising from your content, your misuse of the Services, your violation of these Terms, or your infringement of rights of any person or entity.

20. Dispute Resolution, Arbitration, and Class Action Waiver

To the maximum extent permitted by law, any dispute arising from or relating to these Terms or the Services will be resolved on an individual basis. You and NexID waive any right to participate in class actions, class arbitrations, consolidated actions, private attorney general actions, or representative proceedings.

At NexID's election, disputes may be resolved through binding arbitration administered by a recognized arbitration provider under applicable commercial rules. You and NexID also waive any right to a jury trial to the extent permitted by law.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to applicable mandatory consumer protection and privacy laws in your place of residence, disputes arising from or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, United States, and each party consents to that jurisdiction and venue.

22. Business Transfers and Assignment

NexID may assign, transfer, or delegate these Terms and related rights in connection with mergers, acquisitions, corporate reorganizations, financings, asset sales, or by operation of law. User account and related data may be transferred as part of such transactions.

23. Changes to Terms

NexID may update these Terms at any time to reflect legal, technical, operational, or business changes. Material updates will be posted on the website or communicated through the Services. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
